В статье авторы рассматривают особенности деятельности советов директоров в эпоху высокой потребности в цифровых преобразованиях и отвечают на вопрос, должны ли члены совета директоров брать на себя лидерство в цифровой трансформации, заниматься контролем отдельных аспектов диджитализации или же ограничиваться принципом «не навреди», полностью делегируя принятие решений операционным директорам по цифровой трансформации. На основе исследований проводится анализ рекомендаций различных руководств, нормативно-правовых актов и мнений экспертов в вопросах участия советов директоров в цифровой трансформации бизнеса. Приводится авторская точка зрения, дополняющая анализируемые источники, на роль и особенности деятельности совета директоров в цифровой экономике. Авторы приходят к заключению о том, что перемены в эпоху цифровой экономики увеличивают ответственность и роль совета директоров, а определение стратегического видения компании в цифровой эпохе, изменение корпоративной культуры, предпринимательский подход, повышение Digital IQ, гибкость и готовность к быстрым и непрерывным изменениям, а также формирование компетентной команды становятся важнейшими факторами эффективного управления компанией, а участие в этих вопросах совета директоров является критически важным.
In the article, the authors consider the features of the board of directors in an era of high demand for digital transformations and answer the question of whether board members should take the lead in digital transformation, control certain aspects of digitalization or restrict themselves to the “do no harm” principle, fully delegating acceptance solutions to digital transformation operations directors. Based on the research, an analysis is made of the recommendations of various guidelines, legal acts and expert opinions on the participation of boards of directors in the digital transformation of a business. The author’s point of view, supplementing the analyzed sources, on the role and features of the board of directors in the digital economy is presented. The authors conclude that changes in the digital economy increase the responsibility and role of the board of directors, and the definition of the strategic vision of the company in the digital era, changing the corporate culture, entrepreneurial approach, increasing Digital IQ, flexibility and readiness for quick and continuous changes, and the formation of a competent team also becomes the most important factors in the effective management of the company, and participation in these matters by the board of directors is crucial.
