ABSTRACT

In this paper from the position of electronic commerce as a scope of business activities, including not only trade, payments system, marketing research and advertising, enterprise resource management systems, etc., but also electronic document management, it has been explained that for implementation of legally significant document management the main role is played by an electronic signature. Fundamental legal documents in the area of electronic signature and a scope of its application have been also considered.

Электронную коммерцию часто рассматривают как форму совершения сделок, при которой их заключение и исполнение осуществляется с помощью электронных средств коммуникации [13]. Нередко электронная коммерческая деятельность ассоциируется исключительно с операциями через Интернет [15]. Отдельные авторы рассматривают электронную коммерцию как систему хозяйственной деятельности предприятий, основанной на применении современных телекоммуникационных технологий [16, 20].

В отдельных случаях под электронной коммерцией понимается технология, обеспечивающая полный замкнутый цикл операций, включающий заказ товара (услуги), проведение платежей, участие в управлении доставкой товара (выполнения услуги) [10].

Под электронной коммерцией понимается любой вид деловых операций и сделок, предусматривающий использование информационных технологий и коммуникационных сред [17]. Под электронной коммерцией подразумеваются и отношения, возникающие между хозяйствующими субъектами и государственными органами на основе электронных сообщений [12], или сфера деловой деятельности, включающая электронный документооборот, электронную систему платежей и электронную торговлю [20].

С правовой точки зрения понятие электронного документооборота отличается от понятия электронного обмена данными. В основе первого лежит законность электронных документов, а второго — регламенты и форматы передаваемых сообщений.

Известные требования к документу можно подразделить на три группы. Первая группа характеризует информационную функцию: документ — это не просто информация, зафиксированная на материальном носителе, а сведения определенного характера. Вторая группа — это требования, обеспечивающие доказательственную функцию документа, т.е. возможность использовать документ, содержащий закрепленную в нем информацию, в качестве доказательства в правовых отношениях. Третья группа — компетентность источника документа, которая придает документу юридическую силу.

Для удостоверения юридической силы в разных документах используются различные реквизиты. Так, заявление должно быть адресовано должностному лицу, содержать слово «заявление», текст, дату и подпись. Приказ руководителя должен быть составлен на бланке организации, содержать указание на вид документа (приказ), текст, передающий распорядительные действия, визы согласования, регистрационный номер, дату и подпись. Документ, изданный неуполномоченным органом, подписанный лицом, не имеющим на то прав, не может служить подтверждением изложенных в нем сведений, удостоверять факты или подтверждать права и обязанности.
